1. Acceptance of Terms
By accessing, browsing, or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree to any part of these Terms, you must not access or use the Services.
Your continued use of the Services after we post revised Terms constitutes acceptance of those revisions. The "Last Updated" date at the top of this page indicates when the most recent version became effective.
2. Eligibility
You represent and warrant that:
- You are at least 18 years old, or the age of majority in your jurisdiction, and are legally capable of entering into a binding contract.
- You will register with accurate, current, and complete information and keep that information up to date.
- If you are using the Services on behalf of a company or other organization, you have the authority to bind that organization to these Terms.
3. Account Registration and Security
To access the Services, you must create an account with a valid email address and a secure password. You are responsible for all activity that occurs under your account.
- Keep your password confidential and do not share your login credentials with others.
- Notify us immediately at hello@fulinx.com if you suspect unauthorized access to your account.
- We may suspend or close accounts that violate these Terms, create security risks, or expose us or other users to liability.
4. Subscription Plans, Billing and Renewals
FulinxCMS offers monthly and annual subscription plans. Paid plans renew automatically at the end of each billing cycle until you cancel, so your service is never interrupted.
- 14-day free trial: New customers may use eligible paid plans free of charge for 14 days. We will not charge you during the trial unless you choose a paid plan; once the trial ends, your first billing period begins.
- Billing: Subscription fees are charged in advance at the start of each billing cycle. By subscribing, you authorize FulinxCMS and our payment processors to charge your selected payment method.
- Cancellation: You may cancel your subscription at any time from your account settings. Your access continues until the end of the current paid period, and you will not be charged again.
- Refunds: For annual plans, you may request a refund within 14 days of purchase if you are unsatisfied; we will issue a prorated refund for the unused portion. Monthly plan fees are non-refundable except where required by law.
5. Acceptable Use Policy
You agree not to misuse the Services. Without limiting the generality of these Terms, you will not:
- Post, publish, or distribute illegal, fraudulent, infringing, defamatory, or otherwise unlawful content.
- Attempt to disrupt, overload, hack, or otherwise interfere with the Services, its infrastructure, or other users' accounts.
- Resell, sublicense, rent, or provide the Services to third parties as a standalone offering without our prior written permission.
- Use automated scripts, bots, or scrapers to access the Services in ways that exceed normal human use or violate platform limits.
- Use the Services to send unsolicited bulk messages (spam) or to collect user data without consent.
6. Your Content and Intellectual Property
You retain all ownership and intellectual property rights in the content, data, and materials you upload, create, or generate using the Services ("Your Content"). We do not claim ownership of Your Content.
To provide, operate, and improve the Services, you grant FulinxCMS a limited, worldwide, non-exclusive, royalty-free license to host, store, process, display, and transmit Your Content. This license exists solely to deliver the Services to you and ends when you delete Your Content or terminate your account, subject to reasonable backup and retention periods.
7. AI-Generated Content Disclaimer
The Services include AI-assisted features that can draft copy, translate languages, generate images, and suggest content strategies. Because AI output is probabilistic, it may contain errors, inaccuracies, or outdated information.
- AI-generated content is provided "as is." You are responsible for reviewing, fact-checking, and editing it before use or publication.
- You are solely responsible for ensuring that your final content complies with applicable laws, regulations, advertising standards, and third-party platform policies.
- AI output does not constitute professional, financial, legal, or medical advice and should not be relied upon as such.
8. Our Intellectual Property
FulinxCMS and its licensors own all rights, title, and interest in the Services — including the platform software, algorithms, interface designs, documentation, and the FulinxCMS name and logo. These Terms do not grant you any ownership interest in the Services.
- You may not copy, modify, distribute, sell, or reverse-engineer any part of the Services.
- You may not remove, obscure, or alter any copyright, trademark, or other proprietary notices within the Services.
9. Third-Party Services and Links
The Services may link to or integrate with third-party websites, tools, and services (e.g., payment processors, image libraries, analytics providers). We do not control and are not responsible for the content, policies, or practices of any third parties. Your use of third-party services is subject to their own terms and privacy policies.
10. Termination and Suspension
You may stop using the Services and terminate your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or to protect the platform and other users. Upon termination:
- Your right to access and use the Services ceases immediately.
- You may export Your Content before termination; we will provide a reasonable period to retrieve it where required by law.
- Sections that by their nature should survive termination (e.g., IP ownership, disclaimers, liability limits, indemnification, governing law) will continue to apply.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE, COMPLETE, OR RELIABLE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FULINXCMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
13. Indemnification
You agree to indemnify, defend, and hold harmless FulinxCMS and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Services, (b) Your Content, (c) your violation of these Terms, or (d) your violation of any rights of a third party.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the People's Republic of China, without regard to its conflict-of-law principles, except where mandatory local law applies to you. Any disputes arising out of or relating to these Terms or the Services shall first be resolved through good-faith negotiation. If the dispute cannot be resolved within sixty (60) days, it shall be submitted to the competent courts of Shanghai, China, unless otherwise required by applicable law.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last Updated" date, and we may notify you by email where appropriate. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
